Terms of Sale

1. Purpose and Scope

These General Terms of Sale (the “Terms of Sale”) govern subscriptions to the plans of the Muffino platform (https://muffino.ai) and the use of credits. They supplement the Terms of Use.

Muffino plans are reserved for professionals. Any subscription, including to the free plan, constitutes acceptance of these Terms of Sale.

Muffino offers a free plan, Discovery, and paid plans whose content (number of monthly credits, number of brands and collaborators, features) and price are presented on the website or in the application at the time of subscription.

The Discovery plan lets you try Muffino for free, without a credit card, with free credits every month.

4. Credits

Credits are Muffino’s unit of consumption. The tasks performed by the platform (analyzing a website, creating a style, generating or editing content with artificial intelligence, campaign suggestions) consume credits.

• An estimate of the number of credits is displayed before a task is launched; the amount debited corresponds to the work actually performed and may differ slightly from the estimate
• An interrupted or canceled task is debited the credits corresponding to the work already performed
• Actions that do not involve artificial intelligence (visual editing, re-rendering, scheduling and publishing on Instagram, downloading) do not consume credits
• The credits included in a plan are renewed each period and do not roll over to the next period; additional credits remain available as long as the account is active
• Credits have no monetary value: they are non-refundable, non-exchangeable and non-transferable, and are forfeited when the account is closed

5. Prices

Plan prices are shown on our website. All prices are displayed exclusive of tax (excl. VAT) and will be increased by the applicable VAT.

Muffino may change its prices. Any change will be brought to your attention before it takes effect and will only apply from the following billing period.

6. Payment and Billing

Billing is monthly and automatic. You will receive an invoice by email on each billing date. Payments are made by payment card through our secure payment provider.

In the event of non-payment, access to paid features may be suspended. In accordance with Article L. 441-10 of the French Commercial Code, any late payment will give rise to late-payment penalties equal to three times the legal interest rate, as well as a fixed indemnity for recovery costs of €40.

7. Duration, Renewal and Termination

Subscriptions have no minimum commitment period and renew automatically on each billing date.

You may terminate your subscription at any time from your customer area. Termination will take effect at the end of the current billing period; your account then reverts to the Discovery plan. No refund will be made for the period already billed.

8. No Right of Withdrawal

As Muffino plans are subscribed to by professionals for the purposes of their business, the right of withdrawal provided for by the French Consumer Code does not apply, unless otherwise provided by law.

9. Liability

The respective liabilities of Muffino and the user, as well as the limitations of liability, are described in the Terms of Use.

10. Force Majeure

Muffino shall not be held liable for any failure to perform its obligations resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code, in particular an outage or unavailability of the services of its providers or of third-party platforms.

11. Personal Data

The data collected during subscription and payment is processed in accordance with our Privacy Policy.

12. Changes to the Terms of Sale

We reserve the right to modify these Terms of Sale at any time. Users will be informed of any modification by email or through a notification on the platform. The applicable Terms of Sale are those in force on the date of subscription or renewal.

13. Governing Law and Jurisdiction

These Terms of Sale are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution before taking any legal action.

Failing an amicable settlement, the dispute will be brought before the competent courts within the jurisdiction of Palocorp’s registered office.
